These Terms form a binding agreement between you and Digibility. By accessing our websites, creating an account, joining the wishlist, starting a trial, or using our products, you agree to these Terms and all policies referenced here.

A short summary sits first for clarity. The legal version controls.

Quick summary (non-binding)

  • You get a subscription to use Digibility; you own your content; we own our software.
  • Our AI suggests plans, drafts, timing. You approve. A human review layer exists on eligible plans.
  • You must follow platform rules (Meta, LinkedIn, Google) and our Acceptable Use Policy.
  • Trials are free; paid plans auto-renew until you cancel.
  • No guarantees of results. We limit liability to fees paid in the last 12 months.
  • Disputes: arbitration in Pune, Maharashtra, India under Indian law.

Who may use Digibility

  • You must be 18+ and able to form a contract.
  • If you use Digibility for a company, you represent you are authorized to bind that company.
  • You must provide accurate information and keep credentials secure.

Accounts and access

  • One account per person. Do not share logins outside your organization.
  • You are responsible for all activity under your account.
  • We may suspend access for suspected abuse, non-payment, security risk, or violations of these Terms.

Our services

Digibility helps you plan, create, schedule, and analyze marketing content. Features vary by plan and region.

AI features

  • AI may analyze your public site and connected socials to derive brand voice, propose calendars, draft posts, recommend best-time windows, and suggest monthly strategy updates.
  • You remain the editor. You decide what publishes.
  • We do not allow third-party foundation models to train on your identifiable content unless you opt in.

Human-in-the-loop

  • On eligible plans, editors review key stages (e.g., analysis, calendar, creatives) for basic quality and policy alignment.
  • You are still responsible for accuracy, compliance, and claims in your content.

Third-party platforms

  • Publishing and analytics depend on APIs from Meta (Instagram/Facebook), LinkedIn, Google Business Profile, etc. Those services may throttle, change policies, or suffer outages. We are not liable for their behavior.

Wishlist, trials, and early access

  • Wishlist: Joining places you in an invite queue. Perks and pricing are disclosed with your invite. No payment is due to join.
  • Trials: Trials are time-limited and free unless stated otherwise. Trial inclusions are listed at signup.
  • Early access / beta: Pre-release features are “as is,” may change or be discontinued, and may have usage caps.

Subscriptions, pricing, taxes

  • Plans are subscription-based and auto-renew until canceled.
  • Fees are due in advance. Prices may change with notice before your next term.
  • Taxes (e.g., GST/VAT) are extra where applicable. You authorize us or our processors (e.g., Razorpay/Stripe) to charge your payment method.

Upgrades, downgrades, cancellations

  • Plan changes take effect immediately or at the next term, as stated at checkout.
  • Cancel anytime in app; access continues until the end of the current term.
  • Unless a money-back guarantee is explicitly offered at purchase, fees are non-refundable. Chargebacks without contacting support may lead to account suspension.

Your content and licenses

  • Your ownership: You own the content you upload or approve (text, images, videos, captions, analytics exports).
  • License to us: You grant us a worldwide, non-exclusive license to host, process, transform, and transmit your content to deliver the service and comply with law.
  • Aggregated/anonymous data: We may use de-identified data to improve features, measure performance, and publish usage insights.
  • Feedback: If you give feedback, we may use it without restriction or payment.

Our IP

  • We and our licensors own the software, models, interfaces, designs, templates, documentation, and trademarks.
  • You receive a limited, non-transferable, revocable license to use the service for your business during an active subscription.

Acceptable Use Policy (AUP)

You must not use Digibility to post, promote, sell, or assist content that is illegal, harmful, deceptive, or high-risk. This includes, at minimum:

  • Illegal/regulated drugs (cannabis/THC/CBD in India, steroids, SARMs).
  • Adult sexual content/services (pornography, escorts, explicit fetish content).
  • Weapons/explosives and accessories.
  • Gambling/betting, private lotteries; real-money gaming where illegal.
  • Tobacco/vaping products.
  • Hate/extremism, harassment, threats.
  • Fraud/high-risk finance (HYIPs, guaranteed returns, unlicensed forex/crypto signals).
  • Pyramid/MLM schemes.
  • Counterfeit/pirated goods, license circumvention.
  • Hacking/malware/stalkerware, surveillance equipment violating law.
  • Academic cheating/fake documents.
  • Unlicensed medical claims, miracle cures.
  • Political influence operations without clear disclosure and lawful basis.

Operational restrictions:

  • No scraping, rate-limit abuse, spamming, or automated sign-ups.
  • No reverse engineering, decompiling, or security probing.
  • No benchmarks, competitive analysis disclosures, or public statements about our service performance without prior written consent.
  • Respect platform policies (Meta/LinkedIn/Google). Your accounts must remain in good standing.

We may remove content or suspend accounts that violate the AUP.

Results, accuracy, and disclaimers

  • AI outputs may be incorrect, incomplete, or unsuitable for your use case. You must review before publishing.
  • Analytics may vary from native platforms due to API limitations, caching, and attribution models.
  • We do not guarantee business outcomes (e.g., revenue, engagement, leads).

Security and privacy

  • We use encryption in transit and at rest, access controls, logging, and backups.
  • See our Privacy Policy and Sub-processors page for details.
  • For enterprise customers, a Data Processing Addendum with SCCs/UK Addendum/DPDP terms is available on request.

Publicity; portfolio use

  • We may use your name and logo as a customer reference on our site and sales materials. You may opt out by emailing support@digibility.ai.
  • You grant us a limited license to display your marks solely for this purpose.

Third-party services

  • Integrations you enable are governed by their own terms. We are not responsible for third-party services or their processing of your data.
  • Payment processing is handled by Razorpay (India) and Stripe (global). We do not store full card numbers.

Termination

  • You may cancel anytime.
  • We may suspend or terminate for breach, legal risk, non-payment, fraud, or platform policy violations.
  • On termination, your license ends. We will delete or return your content per our Privacy Policy. Certain provisions survive (e.g., IP, payments due, indemnity, limitations).

Warranties and disclaimers

  • THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, OR THAT AI OUTPUTS OR ANALYTICS ARE ACCURATE OR WILL MEET YOUR GOALS.

Limitation of liability

  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGIBILITY AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION.
    OUR TOTAL LIABILITY FOR ANY CLAIM IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE FEES YOU PAID TO US FOR THE SERVICE THAT GAVE RISE TO THE CLAIM IN THAT PERIOD (OR INR 1000, IF YOU ARE ON A FREE TIER).

    Some jurisdictions do not allow certain limitations; your rights may vary.

Indemnification

You will defend, indemnify, and hold harmless Digibility from claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of: (a) your content; (b) your use of the service; (c) your breach of these Terms; (d) your violation of law or third-party rights; or (e) disputes with social platforms or end-users related to your content or accounts.

Changes to the service and Terms

We may modify or discontinue features with reasonable notice. We may update these Terms; material changes will be notified by email or in-app. Continued use after the effective date means you accept the updated Terms.

Export control and anti-corruption

You agree to comply with applicable export, re-export, and sanctions laws and with anti-bribery/anti-corruption laws. You will not use the service in embargoed countries or for prohibited end uses.

Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, internet failures, platform outages, acts of government).

Governing law; dispute resolution

  • Governing law: Laws of India, without regard to conflict-of-law rules.
  • Venue / Arbitration: Any dispute shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 by a sole arbitrator appointed in accordance with the Act. Seat and venue: Pune, Maharashtra, India. Language: English.
  • Courts at Pune, Maharashtra, India shall have exclusive jurisdiction for injunctive or interim relief.
  • You and Digibility will first attempt to resolve disputes informally within 30 days before filing for arbitration.

Notices

We will send legal notices to the email on your account. You will send legal notices to support@digibility.ai and to our registered address (Attention: Legal).

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign as part of a merger, acquisition, or transfer of assets.

Entire agreement; severability; no waiver

These Terms, the Order/Checkout page, Privacy Policy, AUP, and any DPA constitute the entire agreement. If any provision is unenforceable, the remainder stays in effect. Failure to enforce is not a waiver.

Annex A: Acceptable Use & Prohibited Industries (binding)

This Annex forms part of the Terms. You must not use Digibility for:

  • Illegal or regulated drugs (cannabis/THC/CBD in India), steroids, SARMs.
  • Adult sexual content/services: pornography, escorts, explicit fetish content.
  • Weapons/explosives and accessories.
  • Gambling & betting; private lotteries; real-money gaming where illegal or unclear.
  • Tobacco & vaping products, surrogate advertising.
  • Hate/extremism, harassment, incitement.
  • Fraud/high-risk finance: HYIPs, “guaranteed returns,” unlicensed forex/crypto advisory, pump-and-dump.
  • Pyramid/MLM and chain referrals.
  • Counterfeit/piracy, cracked software, IP theft.
  • Hacking/malware/stalkerware, illegal surveillance.
  • Academic cheating, fake certificates.
  • Unlicensed medical claims/miracle cures; regulated health services without credentials.
  • Political influence ops without clear disclosure, consent, and lawful basis.

We may update this Annex. Continued use means you accept updates.

Annex B: Platform compliance (binding)

  • You must follow Meta, LinkedIn, Google, and other platform policies and branding rules.
  • You must maintain valid OAuth connections; do not share tokens.
  • You are responsible for strikes, bans, or takedowns on your social accounts. We may suspend posting for accounts at risk.

Annex C: Refunds & credits

  • Unless a money-back guarantee is explicitly offered at purchase, subscriptions are non-refundable.
  • If we issue credits (e.g., service credit, AI credits), they are promotional, non-transferable, and expire as stated.

Annex D: Communications and WhatsApp consent

  • By providing your email/phone and selecting consent, you authorize us to send onboarding messages, account notices, and product updates.
  • You can unsubscribe from emails at any time or reply STOP on WhatsApp to opt out.
